Terms and Conditions:
- Definitions
“We”, “us”, “our”, “QuizQuizQuiz” or “QQQ” means QuizQuizQuiz Limited (company number 05401782) whose registered address is: Merton Manor Farm, 23 Station Road, Gamlingay, SG19 3HA.
“‘Client” or “you” means the person, firm or company or their representative to whom we provide the Quiz.
“Quiz” or “Quiz Services” means a Quiz Event or any associated Quiz Event services provided by QuizQuizQuiz, and shall include the provision of Quiz Content, the preparation, checking and editing of Quiz Content (whether written by us or not), and the general giving of advice or carrying out of a chargeable service for you.
“Quiz Event” means any online, virtual or physical event involving quiz questions of any sort, which our staff is involved in, in any capacity, including but not limited to preparing, hosting, managing, organising, assisting or otherwise attending, either physically or remotely.
“Quiz Content” or “Quiz Materials” means any content or materials (whether printed, digital, electronic, app-based or web-based) associated with a Quiz, including, but not limited to, quiz questions and answers, multiple choice options, additional facts and supporting information, sources, audio or visual material, guidance and notes for quiz masters or quiz event hosts, and any support material related to a Quiz, including handouts such as picture rounds or answer sheets.
2. General
A contract for the provision of a Quiz under these Terms and Conditions will come into force when you confirm your booking or order in writing (including by email).
This agreement forms a binding contract between QQQ and you. The contract may only be varied with the written agreement of both parties. Your rights under this contract may not be resold, assigned or transferred without the written consent of QQQ.
3. Payment and charges
3.1. QQQ reserves the right to make additional charges in respect of extra costs, charges and expenses caused by or arising out of:
(i) changes and additions made or requested by you after your acceptance of our quotation or after you confirm your booking or order;
(ii) increases in costs of personnel, materials, equipment or services necessary for the completion of the supply of the Quiz after you accept our quotation or after your confirm your booking or order;
3.2. For a Quiz Event at which we are providing staff (whether physically or remotely), it may be possible to alter the pre-agreed timings at the event with the agreement of the quiz master. S/he will advise if any change to the schedule will lead to additional charges, for example, if travel/accommodation needs to be (re)arranged.
3.3. Payment terms can be found on your invoice. You must pay in full within 30 days of the issue date of each invoice. The person who confirms the booking or order or the person on behalf of whom the booking or order is made is responsible for ensuring that QuizQuizQuiz is paid according to the terms and conditions. Interest may be charged on late payments and will be calculated on a daily basis at an annual rate of 5% over the Bank of England base rate. Interest will continue to accrue from the date that payment became due up to and including the date that full payment is received by us.
All prices quoted to you are exclusive of VAT unless otherwise stated. Your invoice will show the gross price to be paid by you. QuizQuizQuiz is VAT-registered in the UK.
4. Booking and Cancellation
4.1. For any Quiz Services that do not involve our staff to attend (whether physically or remotely), then cancellation of any work will result in fees being charged for the amount of work completed, even if not yet delivered to you, at the time of cancellation.
4.2. All bookings and orders will be regarded as provisional until a signed contract or written confirmation accepting the booking, and thus these terms and conditions, is received by us.
4.3. For any Quiz that does involve our staff attending (whether physically or remotely), the following cancellation fees apply when confirmed bookings are cancelled by you:
- Cancellation on the date of the Quiz: Full price of the Quiz
- Cancellation between 1 and 5 days before the Quiz: Half of the full price of the Quiz
- Cancellation between 6 and 14 days prior to the Quiz: £100
- Cancellation between 15 and 28 days prior to the Quiz: £50
- Cancellation 29 days or more before the Quiz: No charge
- Cancellation 1 or more days prior to any Quiz which includes preparation of special material requested by you for your Quiz: in addition to the above, fees will be charged for the amount of work completed, even if not yet delivered to you, at the time of cancellation.
4.4. All cancellation fees will be subject to interest as detailed above if not paid within 30 days of the issue date of the invoice.
5. Our responsibilities
5.1. We will maintain public liability insurance for accidents caused by our negligence or the failure of our equipment, and other insurance as set out and updated from time-to-time at https://quizquizquiz.com/legal-stuff
5.2. We will ensure that all relevant equipment supplied by us for use during your Quiz has passed Portable Appliance Testing (PAT).
6. Your responsibilities
Unless agreed in writing otherwise, at Quiz Events taking place in a physical location, You are required to ensure the provision of (i) suitable furniture and sufficient space for our team and equipment, and (ii) electricity at the venue, which must consist of a minimum of one 13 amp power socket within a 5m distance of the quizmaster. Further details, and any requirements specific to your Quiz Event will be advised prior to the Quiz Event.
7. Intellectual Property and Licence
7.1. Our Quiz Content and the Quizzes they are used in are, or include, the intellectual property of QuizQuizQuiz.
7.2. You may not use or distribute Quiz Content for any purpose, other than for the specific Quiz and purpose for which they were supplied, without the express written (including email) permission of a QQQ director.
7.3. We own the copyright in all our Quiz Content in a Quiz unless otherwise stated or agreed in writing with your, even if this Quiz Content was specifically created in order to provide Quiz Services to you. Nothing in this agreement shall act to assign any intellectual property rights subsisting in any Quiz Content to you. We endeavour to acknowledge the copyright owner on all material, wherever possible, for which we do not own the copyright, and are responsible for having any necessary permission to use material owned by others.
7.4. We take great care to verify our questions and answers, but cannot guarantee their accuracy, and cannot be held responsible for any errors or misunderstandings or direct or indirect consequences of such errors or misunderstandings that may occur.
8. Force Majeure
QQQ will make every effort to ensure that it meets its obligations to you, but it is not liable if it fails to do so as a result of circumstances beyond its control, including, but not limited to: fire, flood, illness, epidemic, pandemic, movement restrictions (including self-isolation) imposed or recommended by government, war, terrorism, extreme weather conditions, strikes, transport failure, power failure or accidents. In the event of such a force majeure event, we will endeavour to reschedule to a mutually convenient future date or move any in person Quiz Event that can reasonably be so converted to an online or virtual Quiz Event and if you would nevertheless prefer to cancel, then the cancellation fees set out above shall apply.
9. Limitation of Liability
9.1. For any Quiz held remotely:
(i) we will agree with you which third-party video-conferencing technology (including but not limited to Zoom, Microsoft Teams, Cisco Webex, Google Meet, Go-To-Meeting, Remo) will be used as the platform for the Quiz, and we will take reasonable steps to inform you of any relevant limitations or risks of the platform chosen of which we are aware, for instance technical or security limitates or issues in relation to the format of the Quiz that the platform allows;
(ii) if we experience any technical fault with the agreed platform or because of an internet or other data connectivity outage, or for any other reason including our or your hardware failures such that the Quiz (a) cannot be completed; or (b) restarted; or (c) moved to another platform in a reasonable timeframe (considering the length of the overall event, the point during the event at which the fault occurs, and the availability of our staff and your participants), then our liability is limited to providing the Quiz for you at a later time/date (as agreed with you and subject to our availability);
(iii) if a technical fault occurs but we are able to fix or work around the fault in a reasonable timeframe (considering the length of the overall event, the point during the event at which the fault occurs, and the availability of our staff and your participants), then the event will proceed or continue as planned to the agreed timings and at the agreed price;
(iv) if you wish to delay the start of the Quiz because of circumstances arising at your end (for example a significant number of participants are late, or suffering from their own technical issues), we shall adapt the Quiz to fit the time available within the agreed timings of the Quiz.
9.2. For all Quiz Events:
In no circumstances do we guarantee a certain number of questions or rounds, nor can we guarantee our availability beyond the agreed end time for the Quiz Event.
9.3. For all Quizzes and Quiz Services:
To the extent permitted by law and except as expressly provided to the contrary in this agreement, all warranties whether express, implied, statutory or otherwise, relating in any way to the subject matter of this agreement or to this agreement generally, and all liability in respect of such warranties, is and are excluded.
9.4. In the event that any warranty, or liability for a warranty, cannot be legally excluded, the liability of QQQ for any breach of such term shall be limited to the supplying of the Quiz again; or the payment of the cost of having the Quiz supplied again.
9.5. To the extent permitted by law and except as expressly provided to the contrary in this agreement, QQQ shall not be under any liability (contractual, tortious or otherwise) to you in respect of any loss or damage (including, without limitation, consequential loss or damage) howsoever caused, which may be suffered or incurred or which may arise directly or indirectly in respect to the supply of goods or services pursuant to this agreement or the act, failure or omission of QQQ.
10. Law & Jurisdiction
These terms and conditions are governed by the law of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
